Terms of Service

This Terms of Service creates a contract between you and MuseHub (the “Agreement”). Please read the Agreement carefully.

Introduction

MuseHub is a digital platform provided by MuseHub, LLC. This MuseHub Terms of Service Agreement ("Agreement") governs your use of MuseHub's services ("Services"), through which you can access, purchase, or subscribe to music and audio tools, content, and related services (collectively, "Content"). Content may be offered by MuseHub or third-party providers.

Service Availability

Our Services are available in the following territories: Australia, Austria, Belgium, Bulgaria, Canada, Chile, Colombia, Croatia, Cyprus, Czechia, Denmark, Estonia, Finland, France, Germany, Greece, Hong Kong, Hungary, Iceland, Indonesia, Ireland, Italy, Japan, Latvia, Lithuania, Luxembourg, Malaysia, Malta, Mexico, Netherlands, New Zealand, Norway, Poland, Portugal, Romania, Saudi Arabia, Singapore, Slovakia, Slovenia, South Africa, South Korea, Spain, Sweden, Switzerland, Thailand, Türkiye (Turkey), United Arab Emirates, United Kingdom, United States, and Vietnam (each a "Home Country"). By creating a MuseHub Account in a specific country or territory, you designate it as your Home Country.

To use MuseHub, you need compatible hardware, software (latest version recommended), and Internet access. The performance of MuseHub may be affected by these factors.

Account

You can view and access certain Content on MuseHub without an account. Purchasing Content and accessing purchased Content requires a MuseHub account. Your account is valuable, and you are responsible for maintaining its confidentiality and security. MuseHub is not responsible for any losses arising from unauthorised account use. If you suspect any compromise of your account, please contact MuseHub support immediately.

You must be at least thirteen (13) years old to create an account and use our Services. Accounts for users under this age must be created by a parent or legal guardian.

Payments, Taxes, and Refunds

Content on our Services may be offered free of charge or for a fee, both constituting a “Transaction.” Each Transaction is an electronic contract between you and MuseHub, and/or you and the entity providing the Content. MuseHub will charge your selected payment method for paid Transactions, including applicable taxes.

When you make your first Transaction, MuseHub will charge your selected payment method for any paid Transactions, including any applicable taxes. You agree that MuseHub or its associated billing partner may store and use these payment methods for Transactions. Your primary payment method will be displayed at the top of your account settings payments page.

You can associate multiple payment methods with your MuseHub account. MuseHub or its associated billing partner may store and charge these methods for Transactions. If your primary payment method fails (due to expiration, insufficient funds, etc.), you authorise MuseHub or its associated billing partner to charge any other stored payment method. You remain responsible for any uncollected amounts.

MuseHub may provide an account balance feature ("Muse Wallet"). The Muse Wallet is not a bank account and functions solely as a prepaid balance for ordering Content, Services, and Products within MuseHub. You may add funds to the Muse Wallet up to a maximum limit of $500 (or its equivalent in your local currency). You will be notified of changes to the Muse Wallet balance and usage limits. Continued use of the Muse Wallet after changes means acceptance of these changes. Muse Wallet funds do not constitute a personal property right and have no value outside of MuseHub. Muse Wallet funds are non-transferable, do not accrue interest, dividends, or any other earnings, are not deposits, and are not insured by the Federal Deposit Insurance Corporation or any other governmental agency or any other guarantee funds or compensation mechanism. Refunds of Wallet credits are not provided unless required by law. Unless stated otherwise in these Terms, once your MuseHub Account is closed, any funds remaining within your Muse Wallet may be retained by MuseHub, or if it is deemed unclaimed property may be reported and/or surrendered to the applicable authority, as required by applicable law.  

All Transactions are final, although in cases of technical issues preventing or unreasonably delaying delivery of Content, your sole remedy is either replacement of the Content or refund of the price paid, at MuseHub’s discretion.

MuseHub may update your payment information based on information provided by payment networks or financial institutions.

Transaction billing details can be found on our support page. You agree to receive all invoices in an electronic format, which may include email. Content prices are subject to change at any time. If technical problems prevent or unreasonably delay delivery of Content, your exclusive remedy is either replacement of the Content or a refund of the price paid, at MuseHub's discretion. MuseHub reserves the right to suspend or cancel payments or refuse a refund request in cases of fraud, abuse, or unlawful or manipulative behaviour.

Non-Refundable Content. Please be specifically advised that audio content, including but not limited to musical loops, samples, and sound effects ("Elements"), are non-refundable. By proceeding with your purchase, you expressly agree to waive your right to a refund. This policy acknowledges the unique nature of digital audio content and our commitment to protecting the rights and efforts of content creators who distribute their work through MuseHub.

Right of Cancellation: For all products, except Non-Refundable Content, you may cancel your order within fourteen (14) days of receipt without providing a reason. To cancel, inform us of your decision through our designated cancellation process, which may include using our "Report a Problem" feature or contacting MuseHub Support directly. Paid Subscriptions automatically renew until cancelled. Access to subscription content will continue until the end of the current billing cycle. No refunds will be provided for partial subscription periods.

Effects of Cancellation: We will reimburse you within 45 days of receiving your cancellation notice using the same payment method you used for the Transaction.

Exception to Right of Cancellation: You cannot cancel an order for Content delivery that has begun with your consent and acknowledgment that you thereby forfeit your right to cancellation.

Privacy

Your use of our Services is subject to MuseHub’s Privacy Policy, which is available on our website. This policy outlines how we collect, use, and protect your personal information, and we encourage you to read it thoroughly to understand our practices.

Services and Content Usage Rules

Your use of the Services and Content must adhere to the rules outlined in this section (“Usage Rules”). Violating these Usage Rules constitutes a breach of this Agreement. MuseHub reserves the right to monitor your use of the Services and Content to ensure compliance with these rules

Termination and Suspension of Services

MuseHub may terminate or suspend your access to the Services if you fail to comply with any provision of this Agreement. This may occur without notice and includes terminating your MuseHub account and/or access to the Services.

If you believe your account has been terminated or suspended in error, you may appeal the decision by contacting MuseHub support within 14 days of the termination or suspension. MuseHub will review your appeal and provide a response within 30 days.

Additionally, MuseHub reserves the right to modify, suspend, or discontinue the Services (or any part thereof) at any time with or without notice. MuseHub will not be liable to you or any third party should it exercise such rights.

Downloads

You may be limited in the number of Content items you can download, and some downloaded Content may expire after a certain time. Some Content may not be available for download at all.

You can redownload previously acquired Content to a maximum of 5 devices registered with your MuseHub account. However, Content may not be available for redownload if it is no longer offered on our Services.

Content may also be removed from our Services at any time (e.g., if the provider removes it). Whilst MuseHub will endeavour to preserve access to previously purchased content, you acknowledge that Content removed from MuseHub may not be available for acquisition,  download or redownload.

Subscriptions

Our Services may offer access to Content or Services on a subscription basis (“Paid Subscriptions”). Paid Subscriptions automatically renew until cancelled. Learn more about cancelling your subscriptions on our support page. You will be notified of any price increase for a Paid Subscription and your consent will be required to continue.

If your payment method fails and you have not cancelled the Paid Subscription, you remain responsible for any uncollected amounts. We may attempt to charge the payment method as you update your payment information. This may result in a change to the start of your next Paid Subscription period.

Free trials or offers may be available for certain Content, including Paid Subscriptions. If you decide to unsubscribe before we start charging your payment method, cancel the subscription at least 24 hours before the trial ends.

When your Paid Subscription ends, you will lose access to any functionality or Content that requires such a subscription.

Content and Service Availability

Terms in this Agreement related to Services, Content types, features, or functionality not available in your Home Country are not applicable to you unless they become available. To see available Content types in your Home Country, visit our Services or check our support page.

Certain Services and Content available in your Home Country may not be available when you travel outside of your Home Country.

Third-Party Devices and Equipment

The full functionality of MuseHub Services may not be accessible on non-MuseHub devices. Certain Services might require or suggest the use of third-party equipment, which should be used according to the terms and conditions of the equipment and in line with the manufacturer’s instructions. By using our Services, you acknowledge that MuseHub may occasionally download and install updates to its software on third-party equipment.

Your Submissions to Our Services

Muse ub Services may allow you to submit materials such as comments, ratings, reviews, and other content. Your use of these features must comply with our Submission Guidelines, which are subject to updates. If we find materials that violate our guidelines, we reserve the right to remove them. If you encounter content that breaches these guidelines, please report it to us.

You grant MuseHub a worldwide, royalty-free, perpetual, nonexclusive licence to use the materials you submit within the Services and for MuseHub’s internal purposes. We may monitor, remove, or edit submissions, including through automated content filters and human review.

Submission Guidelines prohibit:

Content licences are provided either by MuseHub or third-party providers (“Content Providers”). MuseHub acts as an agent for Content Providers, facilitating the transaction but not being a party to it. The content acquired is governed by an End User Licence Agreement (“EULA”), provided either by MuseHub or the Content Provider. By purchasing or downloading content within MuseHub, you are agreeing to the terms provided the corresponding content End User Licence Agreement.

In-App Purchases

Some apps may offer content, services, or functionality within the app (“In-App Purchases”). These purchases may be subject to additional terms and conditions.

Maintenance and Support

MuseHub is responsible for maintenance and support of its own apps. Third-party Content Providers are responsible for maintenance and support of their own Content.

Additional Terms for Specific Content

Certain content available on MuseHub may be subject to additional terms set by Content Providers. These terms may dictate usage rights, limitations, and responsibilities specific to that content.

When determining the order of search results, MuseHub considers factors such as metadata provided by Content Providers and user engagement.

Miscellaneous Terms Applicable to All Services

Defiinitions

Definition of MuseHub In this Agreement, "MuseHub" means MuseHub LLC and its affiliates.

Contract Changes

MuseHub reserves the right to modify this Agreement and to impose new or additional terms or conditions on your use of the Services. Such changes will be effective immediately upon posting. Continued use of the Services after changes indicates your acceptance of the new terms.

Third-Party Materials

MuseHub is not responsible or liable for third-party materials included within or linked from the Content or the Services. Charges or obligations incurred with third parties are your responsibility.

Intellectual Property

The Services, including but not limited to Content, graphics, user interface, and software used to implement the Services, are protected by intellectual property laws and are owned by MuseHub or its licensors. No portion of the Services may be reproduced or used in any manner other than as expressly allowed by this Agreement.

Copyright

MuseHub respects the intellectual property of others and expects users to do the same. You can report a suspected case of copyright infringement by submitting relevant details and supporting evidence to support@musehub.com

Disclaimer of Warranties; Liability Limitation

MuseHub does not guarantee uninterrupted or error-free service and is not responsible for loss or damage resulting from the use of the Services. Liability will be limited to the maximum extent permitted by law.

Waiver and Indemnity

By using the Services, you agree to indemnify and hold harmless MuseHub against any claims related to your breach of this Agreement or your use of the Services.

Governing Law

This Agreement is governed by the laws of the State of California, excluding its conflict of laws principles.

Other Provisions

This Agreement constitutes the entire agreement between you and MuseHub. It supersedes all prior agreements regarding its subject matter. Any failure by MuseHub to enforce any provision of this Agreement does not constitute a waiver of that provision.

Notices

MuseHub may provide notices to you via email or postings on the Services. Such notices will be deemed effective immediately.

Export Compliance

You agree to comply with all applicable import/export laws and regulations. You agree not to export the Content and Services or Hardware or allow use of your Account by individuals of any countries to which encryption exports are at the time of exportation restricted by the U.S. Bureau of Export Administration. You represent and warrant that you are not located in, under the control of, or a national or resident of any such prohibited country.
